A while back, my team and I were working with a client — I’ll call it ABC Corp — was in the middle of fundraising private equity. On the day of the closing, my team needed to file amended articles of incorporation for ABC Corp. We do this with the secretary of state and usually things go smoothly. But on that particular day, everything that could go wrong did go wrong.
